Role: Legal Counsel (3-4 years of experience) - General Corporate
Location: Mumbai, India
As a lawyer in our organization, you will have the opportunity to work on a wide range of legal
matters related to corporate law, securities law, regulatory matters, investment funds, including
contracts, mergers and acquisitions, corporate governance, compliance, and other general
corporate legal issues.
Responsibilities :
• Provide legal advice and support on general corporate law matters to internal
stakeholders- group wide.
• Draft, review, and negotiate a variety of contracts, including commercial agreements,
vendor agreements, service agreements and licensing agreements, lending partnership
agreements, fund documents, regulatory licenses, lending documents, structured finance
documents, brokerage agreements.
• Assist in due diligence activities for mergers and acquisitions, including conducting legal
research, reviewing documentation, and preparing reports.
• Advise all group companies on corporate governance matters and ensure compliance with
applicable laws and regulations.
• Conduct legal research and stay updated on changes in corporate law and regulations. -
Assist in the development and implementation of legal policies and procedures.
• Collaborate with cross-functional teams, including finance, human resources, product,
technology, data, business, sales, marketing and operations, to ensure legal compliance
and provide guidance on legal matters.
• Work on intellectual property and data protection law projects
Indicative candidate:
• LLB from an accredited institution.
• Admitted to practice law in India.
• 3-4 years of experience in general corporate law, mergers and acquisitions, private equity,
preferably in a law firm or corporate legal department.
• Strong knowledge of corporate law, contracts, and legal principles.
• Excellent analytical, research, and problem-solving skills.
• Strong written and verbal communication skills.
• Ability to work independently and as part of a team.
• Detail-oriented with good organizational and time management skills.
• Ability to handle multiple tasks and prioritize work effectively.
• Strong interpersonal skills and the ability to build relationships with clients and colleagues.

Role Overview:
Prozo is looking to hire a Manager Legal responsible for drafting and reviewing all legal and commercial contracts, including client agreements and addendums, responses to legal and compliance notices, vendor agreements, lease agreements, and more. This role involves managing the lifecycle of all agreements, closely working with the CEO's office and external legal counsels on a retainership basis. This position also involves front-ending legal conversations with clients and vendors. It is a full-time, work-from-office opportunity, ideal for candidates with at least 3 years of experience in corporate/startup environments.
Responsibilities:
1. Contract Drafting and Review:
- Draft and review legal and commercial contracts, including client agreements, vendor agreements, lease agreements, and addendums.
- Ensure all contracts are compliant with legal requirements and aligned with the company’s interests.
2. Legal and Compliance Notices:
- Draft responses to legal and compliance notices, including labor, HR, tax, and disputes.
- Ensure timely and accurate handling of all legal correspondence.
3. Lifecycle Management:
- Manage the lifecycle of all agreements, ensuring timely renewals, amendments, and compliance.
- Maintain a systematic repository of all contracts and legal documents.
4. Collaboration with External Counsels:
- Work closely with external legal counsels engaged on a retainership basis.
- Coordinate legal strategies and ensure alignment with business objectives.
5. Legal Advisory:
- Provide legal advice to the CEO's office and other senior management on various business matters.
- Conduct legal research and stay updated on relevant legal and regulatory changes.
6. Front-Ending Legal Conversations:
- Lead legal discussions with clients and vendors, ensuring clear communication and negotiation.
- Represent the company in legal proceedings and negotiations as necessary.
7. Secretarial Aspects:
- Handle company secretarial duties, including compliance with statutory and regulatory requirements.
- Maintain corporate records, manage board meetings, and ensure proper documentation and filings.
Qualifications:
1. Education:
- Bachelor’s degree in law (LLB) or higher.
- Company Secretary (CS) qualification is preferred.
- Experience: Minimum of 3 years of experience in a legal role within corporates or startups. Proven experience in contract drafting, review, and lifecycle management.
2. Skills:
- Strong knowledge of corporate law, contract law, and compliance.
- Excellent negotiation, communication, and interpersonal skills.
